1.Acceptance of Terms

These Terms of Service (“Terms”) govern your use of the TruPortals platform and related services (“Service”) provided by TruCreatives LLC (“Company,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms and all applicable laws. If you do not agree to these Terms, you may not access or use the Service.

2.Description of Service

TruPortals is a subscription-based software platform that provides business automation, communication, and marketing tools primarily for artists, labels, and creative professionals (“Clients”). The Service includes access to hosted software, dashboards, and related tools delivered through sub-accounts managed by TruCreatives LLC.

In addition to self-service access, some Clients may receive setup, consulting, or done-for-you implementation services under separate or supplemental agreements.

3.Accounts and Access

To use the Service, you may be required to create an account or be provisioned with a sub-account.

  • You must provide accurate, current, and complete information when creating or updating your account.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
  • You must promptly notify us of any unauthorized access or suspected security breach involving your account.
  • We reserve the right to suspend or terminate access to the Service for any account that violates these Terms or poses a security risk.

4.Acceptable Use

When using the Service, you agree that you will not:

  • Use the Service to send spam, unlawful, misleading, or harmful communications.
  • Upload, post, or transmit any content that infringes or violates the rights of others, including intellectual property or privacy rights.
  • Attempt to gain unauthorized access to the Service, accounts, systems, or networks.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use automated tools or scripts to scrape, harvest, or excessively load the Service, except as expressly permitted in writing.

We may investigate suspected violations and may suspend or terminate access to the Service if we reasonably believe a violation has occurred.

5.Billing, Fees, and Payment

Use of the Service may be subject to subscription fees and usage-based charges.

  • Subscription fees for the Service are charged on a recurring basis (for example, monthly or annually) according to the plan you select or agree to.
  • Certain features may incur additional usage-based fees, such as per-message or per-email costs, based on the current rates of integrated providers (including but not limited to GoHighLevel, Twilio, and similar services).
  • Payments are processed through third-party payment processors such as Stripe or other authorized gateways. By providing payment information, you authorize us and our payment processors to charge the applicable fees.
  • All fees are non-refundable unless otherwise required by applicable law. This includes subscription fees, usage fees, and any purchased credits or unused Service.
  • We may change pricing or fee structures upon reasonable notice. Continued use of the Service after the effective date of a pricing change constitutes your agreement to the new pricing.

6.Cancellation and Termination

6.1 Cancellation by Clients

  • Clients on standard software subscription plans may cancel their subscription at any time through the account settings or by contacting support. Access will typically continue until the end of the current billing period.
  • Clients engaged under managed, custom, or extended service arrangements may be required to provide thirty (30) days’ written notice prior to cancellation, as specified in their individual agreements.

6.2 Suspension or Termination by TruCreatives

  • We may suspend or terminate access to the Service, in whole or in part, immediately if we reasonably determine that you have violated these Terms, failed to pay amounts due, or created a security, legal, or operational risk.
  • We may also suspend or restrict the Service to comply with law, protect other users, or address security incidents.

7.Ownership and Intellectual Property

7.1 Your Content

You retain ownership of all content, data, and materials that you or your authorized users create, upload, or store within your TruPortals account (“Your Content”).

You grant TruCreatives LLC a limited, non-exclusive, worldwide license to host, process, transmit, and display Your Content solely as necessary to provide and support the Service and as otherwise permitted under these Terms.

7.2 TruPortals Platform

TruCreatives LLC retains all rights, title, and interest in and to the TruPortals platform, including software, code, interfaces, designs, trademarks, and all related intellectual property, whether developed independently or in connection with Client feedback.

No rights or licenses are granted to you in the platform or its components except the limited right to access and use the Service in accordance with these Terms.

8.Third-Party Services

The Service may depend on or integrate with third-party services and providers, including but not limited to GoHighLevel, Twilio, Stripe, and GoCollab.

  • Each third-party service is governed by its own terms and privacy policies, which you may need to accept independently.
  • TruCreatives LLC does not control and is not responsible for the availability, performance, or data practices of third-party services.
  • We are not liable for any damages or losses arising from the acts or omissions of such third-party providers.

9.Confidentiality and Data Protection

Both parties agree to treat non-public information received from the other party as confidential and to use it only as necessary to perform obligations under these Terms or as required by law.

TruCreatives LLC handles personal information in accordance with its Privacy Policy, which explains how we collect, use, and protect personal data in connection with the Service.

You are responsible for ensuring that your collection and use of personal data through the Service complies with applicable laws and with your own privacy notices provided to your customers, fans, or contacts.

10.Warranties and Disclaimers

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, TruCreatives LLC disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that it will meet your specific requirements or expectations.

11.Limitation of Liability

To the maximum extent permitted by law, TruCreatives LLC and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, revenue, or data, arising out of or in connection with your use of the Service.

In no event shall our total aggregate liability for all claims related to the Service exceed the total amount you paid to TruCreatives LLC for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

12.Indemnification

You agree to indemnify, defend, and hold harmless TruCreatives LLC and its affiliates, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Service;
  • Your violation of these Terms;
  • Your violation of any rights of a third party, including intellectual property or privacy rights.

13.Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

The parties will first attempt to resolve any dispute related to these Terms or the Service through good-faith informal discussions.

If a dispute cannot be resolved informally, it shall be finally resolved by binding arbitration in the State of Delaware under the rules of the American Arbitration Association. The arbitration shall be conducted in English.

You agree to waive any right to participate in a class action, class arbitration, or other representative proceeding against TruCreatives LLC.

14.Changes to These Terms

We may update or modify these Terms from time to time to reflect changes in our Service, business, or applicable law. When we do, we will update the “Effective Date” at the top of this page.

Material changes may be communicated by additional means, such as email or in-Service notice, where required by law. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.
